Terms of Service

These Terms govern your use of Simplitory ("Simplitory," "we," "us"), the inventory-management website and app at simplitory.com. By creating an account or using the service, you agree to these Terms. If you don't agree, please don't use the service.

1. The service

Simplitory is software that helps businesses track inventory — items, locations, counts, suppliers, and history — and count together as a team. We may add, change, or remove features over time to improve the product.

You keep ownership of the data you enter into Simplitory. You grant us the limited permission needed to store, process, and display that data in order to provide the service to you and your team. You are responsible for the data you upload and for having the right to use it. We encourage you to keep your own periodic exports of important records.

5. Plans, pricing, and payment

Simplitory offers a free plan and paid subscription plans (currently "Team" and "Multi-site"). The features and limits of each plan are described on our pricing page and may change over time as described below.

Subscriptions and automatic renewal. Paid plans are sold as recurring subscriptions billed in advance on a monthly basis. Your subscription automatically renews at the end of each billing period, and your payment method is charged the then-current price, until you cancel. By starting a paid subscription, you authorize these recurring charges.

Canceling. You can cancel at any time from your account's billing settings (the "Manage billing" option). Cancellation stops future renewals; your paid features stay active through the end of the period you've already paid for, after which the account moves to the free plan. We don't provide prorated refunds for the unused part of a billing period.

Refunds. Except where required by law, payments are non-refundable — including for partial billing periods and for periods during which you didn't use the service. If you believe you were charged in error, contact us at the address below and we'll work with you in good faith.

Payment processing. Payments are processed by Stripe, our third-party payment processor. When you subscribe, your card and billing details are collected and stored by Stripe under its own terms and privacy policy; Simplitory does not receive or store your full card number. You agree to Stripe's applicable terms when you provide payment information.

Promotional codes and free periods. We may offer promotional codes or introductory free periods (for example, a number of months free on a paid plan). These are promotional, may be limited or withdrawn, are not redeemable for cash, and — unless we state otherwise — your plan continues on its normal paid, auto-renewing terms once the promotional period ends. During our launch, some paid features may also be available at no charge.

Price changes. We may change plan prices, features, or limits in the future. If a change affects an active paid subscription, we'll give reasonable advance notice, and the new price applies from your next renewal — you can cancel before then if you don't agree.

Taxes and failed payments. Prices don't include taxes, which you're responsible for where they apply. If a payment fails, we may retry it and may suspend or downgrade paid features until payment succeeds.

6. Availability

We work to keep Simplitory reliable and available, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify or discontinue features. We are not responsible for outages caused by third-party providers or events beyond our reasonable control.

7. Disclaimer of warranties

The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Simplitory is a tool to help you manage inventory; you are responsible for your own business decisions, records, and compliance. We do not warrant that the data or reports in the app are error-free.

8. Limitation of liability

To the fullest extent permitted by law, Simplitory and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or inaccurate data, arising from or related to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us for the service in the twelve months before the claim, or fifty U.S. dollars ($50).

9. Indemnification

You agree to indemnify and hold harmless Simplitory and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your use of the service, your data, or your violation of these Terms.

10. Suspension and termination

You may stop using Simplitory and close your account at any time. We may suspend or terminate access if you violate these Terms or use the service in a way that risks harm to others or to the service. On termination, your right to use the service ends, and we may delete your data after a reasonable period, subject to our Privacy Policy.

11. Governing law

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws rules. Any disputes will be handled in the state or federal courts located in Nevada, and you consent to their jurisdiction.

12. Changes to these Terms

We may update these Terms as the product and our business evolve. When we make material changes, we will update the "Effective" date above and make a reasonable effort to let you know. Continuing to use the service after changes take effect means you accept the updated Terms.
